Terms & Conditions
Pursuant to SEBI (Research Analysts) Regulations, 2014, applicable Guidelines, Master Circular and circulars issued thereunder, the RA hereby discloses the following Terms & Conditions. By subscribing to or availing research services, the client confirms acceptance of these terms at their sole discretion.
1. Acceptance of Research Services
The client confirms subscription to research services at their sole discretion. The RA confirms research services shall be rendered in accordance with SEBI (Research Analysts) Regulations, 2014.
2. Obligations on RA and Client
Both the RA and the client shall be bound by the SEBI Act, RA Regulations, and all applicable regulations, rules, and notifications issued by SEBI or the Government of India from time to time.
3. Client Information and KYC Requirements
- The client agrees to provide complete and accurate information for KYC compliance as mandated by SEBI or RAASB from time to time.
- The RA will collect, store, upload and verify KYC records through a KYC Registration Agency (KRA) in accordance with SEBI guidelines.
4. Standard Terms of Service
By subscribing, the client confirms: (i) they have read and understood the applicable terms including the fee structure; (ii) they are subscribing for their own benefit and any reliance on research reports is as per their own judgement; (iii) investments carry market risk, recommendations do not assure returns, and there is no recourse to claim losses.
The RA declares: (i) it is duly registered with SEBI (Reg. No. INH000014748, dated Feb 9, 2024); (ii) qualifications to render services are valid and subsisting; (iii) services do not conflict with applicable law; (iv) maximum fee charged is ₹1.51 lakhs per annum per family; (v) recommendations do not provide any assurance of returns.
5. Fees and Payment Terms
Subscription fees shall be paid in advance for a maximum period of 12 months as permitted by SEBI. Payment is accepted via Net Banking, Debit Card, NEFT, RTGS, IMPS, UPI, eNACH or any other SEBI-permitted mode. Fees shall not be accepted in cash.
Investors may opt for the Centralised Fee Collection Mechanism (CeFCoM) by emailing a request to the RA.
6. Risk Factors
- Investments in securities carry inherent market risks, including potential loss of capital.
- Historical performance of recommendations is not indicative of future returns.
- The client must independently assess the suitability of investment decisions.
- Registration granted by SEBI/BSE and certification from NISM in no way guarantee performance of the RA or provide any assurance of returns.
7. Conflict of Interest
The RA shall comply with all applicable regulations regarding disclosure and mitigation of conflicts of interest. Any actual or potential conflict will be disclosed transparently to the client when identified.
8. Termination of Services and Refunds
- The RA reserves the right to suspend or terminate services in the event of suspension or cancellation of their SEBI registration.
- In case of cancellation or suspension for more than 60 days, the RA shall refund the pro-rata fees for the remaining subscription period.
9. Grievance Redressal and Dispute Resolution
Clients may escalate grievances (non-receipt of report, missing pages, other service deficiencies) to:

10. Mandatory Notices
Clients are advised to familiarise themselves with SEBI's Master Circular No. SEBI/HO/MIRSD-POD-1/P/CIR/2024/49 dated May 21, 2024. All subscription and renewal payments must be made in full in advance. Minimum subscription period is one month. Refunds for advisory services are processed within one week post confirmation.

A. Vision and Mission

B. Business Activities
- Publish research reports based on the RA's research activities.
- Provide independent, unbiased views on securities.
- Offer unbiased recommendations, disclosing financial interests in recommended securities.
- Provide research recommendations based on analysis of publicly available information.
- Conduct annual compliance audits.
- Ensure all advertisements adhere to the Advertisement Code for Research Analysts.
- Maintain records of interactions with all clients and prospective clients.
C. Services Provided to Investors
- Onboarding: Sharing terms and conditions; completing KYC for fee-paying clients.
- Disclosures: Material information for informed decision-making; AI tool usage disclosure; conflict-of-interest disclosures.
- Distributing research reports and recommendations without discrimination.
- Maintaining confidentiality until reports are made public.
- Respecting data privacy and protecting clients' confidential information.
- Providing clear guidance and caution notices for complex and high-risk financial products.
- Treating all clients with honesty and integrity.

F. Responsibilities of Investors
Do's
- Always deal with SEBI registered Research Analysts.
- Ensure the Research Analyst has a valid registration certificate.
- Check SEBI registration number on the SEBI website.
- Pay attention to disclosures in research reports before investing.
- Pay through banking channels only and maintain duly signed receipts.
- Check research recommendations before buying/selling securities.
- Ask all relevant questions and clear doubts before acting on recommendations.
- Know your right to stop availing services as per terms of service.
- Inform SEBI about RAs offering assured or guaranteed returns.
Don'ts
- Do not provide funds for investment to the Research Analyst.
- Don't fall prey to luring advertisements or market rumours.
- Do not get attracted to limited-period discounts or gifts offered by an RA.
- Do not share login credentials of your trading, demat or bank accounts with the RA.
